AI Gov Kit — Pro Tier End User License Agreement

1. Parties

This End User License Agreement (the "Agreement") is entered into between [YOUR COMPANY LEGAL NAME] ("Licensor", "we", "us") and the individual or legal entity identified at checkout ("Licensee", "you"). By purchasing, downloading, registering, or using the AI Gov Kit Pro tier product, including its companion AI Policy Generator service (collectively the "Product"), you agree to be bound by this Agreement.

2. Grant of License

Subject to your full payment and continued compliance, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Product solely for the internal business purposes of the single legal entity identified during registration.

3. Scope of Pro Tier

The Pro tier includes the full template library, the AI Policy Generator service, the advanced risk framework, compliance checklists, priority support, and one (1) year of updates. The Pro license authorizes use by employees, contractors, and authorized agents of the single registered Licensee entity only.

4. AI Policy Generator — Specific Terms

• (a) Access to the AI Policy Generator requires a valid, registered, non-expired Pro license key bound to your registered company.
• (b) Each policy or document generated by the AI Policy Generator will be watermarked with your registered company legal name, your license identifier, and the date of generation. You agree NOT to remove, obscure, or alter such watermarks.
• (c) The AI Policy Generator is provided as a tool to assist with policy drafting. Generated outputs are not legal advice. You are responsible for legal review and adoption of any generated document.
• (d) Licensor may monitor usage volume, query patterns, and license validity to prevent abuse. Excessive, automated, or anomalous usage may result in throttling or suspension.
• (e) You shall not provide AI Policy Generator outputs to any third party as your own original work, nor use the service to generate documents for any party other than the registered Licensee entity.

5. Restrictions

You shall NOT, and shall not permit any third party to:

• (a) Resell, sublicense, rent, lease, lend, distribute, publish, or otherwise transfer the Product, license key, or any portion thereof;
• (b) Use the Product or AI Policy Generator to provide services to any party other than the registered Licensee entity (consulting use requires the Consultant tier);
• (c) Share your license key with any party outside the registered Licensee entity;
• (d) Share, post, upload, or transmit the Product or any portion thereof on any public repository, file-sharing service, or other location accessible to non-Licensee parties;
• (e) Remove, obscure, or alter any copyright, trademark, watermark, license identifier, or proprietary notice;
• (f) Reverse engineer, decompile, disassemble, or extract any software component, prompt, model, or training data;
• (g) Use the Product in any manner that violates applicable law or infringes any third-party right;
• (h) Attempt to circumvent license validation, watermarking, or usage controls.

6. Intellectual Property

The Product, including all templates, software, code, prompts, generated output formatting, designs, documentation, trademarks, and trade dress, is the exclusive property of Licensor and is protected under United States and international intellectual property law. No ownership transfers to you. As between you and Licensor, you retain ownership of the company-specific factual content you input into the AI Policy Generator; the structure, formatting, and template elements of generated outputs remain Licensor's intellectual property, used under this license.

7. Permitted Modifications

You MAY adapt templates and generated outputs for use within your registered organization. Modified or generated documents remain subject to Sections 4, 5, and 6 and may not be distributed outside your organization or used to provide services to third parties.

8. Registration & Accurate Information

You agree to provide accurate, current, and complete information during purchase and registration. Providing false information is a material breach and grounds for immediate termination without refund. License keys not registered with complete and accurate company information will not unlock the Product or the AI Policy Generator.

9. Term & Termination

This Agreement is effective upon acceptance and continues until terminated. Licensor may terminate immediately upon any material breach, including any violation of Sections 4 or 5. Upon termination, your license key and AI Policy Generator access will be revoked, and you must cease all use and destroy all copies of the Product. Sections 4, 5, 6, 10, 11, 12, 13, and 14 survive termination.

10. No Warranty

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. GENERATED OUTPUTS ARE NOT LEGAL ADVICE and may contain errors, omissions, or inaccuracies. You are solely responsible for legal review of any document generated, adapted, or adopted using the Product.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. LICENSOR'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Licensor from any claims arising from (a) your breach of this Agreement, (b) your use or misuse of the Product or AI Policy Generator, (c) your adoption of any generated document, or (d) your violation of any law or third-party right.

13. Audit & Enforcement

Licensor reserves the right to (a) verify the validity of any license at any time, (b) audit usage patterns, (c) suspend or revoke any license suspected of unauthorized sharing or misuse, and (d) pursue all legal remedies available, including injunctive relief and recovery of attorneys' fees, for any violation of Sections 4, 5, or 6.

14. Governing Law & Venue

This Agreement is governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. Exclusive venue lies in the state and federal courts of [COUNTY], Texas.

15. Entire Agreement

This Agreement is the entire agreement between the parties regarding the Product and supersedes all prior agreements. Modifications must be in writing and signed by Licensor.
